STANDARD TERMS AND CONDITIONS - NORTHSHORE TECHNOLOGIES LLC

Effective Date: July 2025

These Terms and Conditions (“Terms”) apply to all sales, services, and installations performed by NORTHSHORE TECHNOLOGIES LLC (“we”, “us”, or “the Company”) and are binding for all clients (“you” or “the Client”).

  1. Definitions
    1. Client: The individual or entity purchasing services or equipment.
    2. Services: Any installation, configuration, consulting, or related work.
    3. Invoice: The document detailing charges for goods/services rendered.
    4. Site: The physical location where services are rendered.

  3. Payment Terms
    All invoices are due upon receipt. If payment is not received within 7 calendar days, a 10% late fee may apply. NORTHSHORE TECHNOLOGIES LLC reserves the right to suspend service until payment is received.

  4. Collections
    If the balance remains unpaid 60 days after the invoice date, the account may be forwarded to a collections agency. The client agrees to cover all legal and administrative costs incurred.

  5. Tax Withholding
    If applicable, the client is responsible for remitting withholding tax to the relevant government agency. We are not responsible for legal obligations arising from regional tax rules.

  6. Service Obligations
    We commit to performing work within the agreed scope. No specific outcome is guaranteed. We are not liable for disputes between the client and any third party or end user.

  7. Claims
    Claims must be submitted in writing within 8 calendar days of service completion. Only claims received via certified mail or official email will be valid.

  8. Technical Installations and Structured Cabling
    1. 7.1. Site Requirements: The client must provide safe access, reliable power, and necessary permissions to the installation area.
    2. 7.2. Scope of Work: Work is limited to items explicitly quoted. Additional work (e.g., structural drilling, rerouting cables, 3rd-party configuration) requires separate approval and charges.
    3. 7.3. Installation Warranty: Labor is covered under a 30-day warranty. This does not include damage due to misuse, modification, or external factors.
    4. 7.4. Liability Limits: We are not liable for service issues caused by the client’s ISP, previous installations, or third-party devices not provided by us.

8. Cancellation and Termination

Either party may terminate services with 7 days' written notice. NORTHSHORE TECHNOLOGIES LLC reserves the right to charge a cancellation fee up to 20% of the project total if work has already commenced or materials were procured.

9. Updates to Terms

We may update these Terms periodically. Changes will be posted on our website and become effective 10 days after publication unless otherwise stated.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States. All legal matters will be resolved in the courts of Puerto Rico.
